Terms and Conditions

These Terms and Conditions ("Terms") govern the agreement between Jacek Winter trading as Doredon ("I", "me", "my") and the client ("you", "your") for the provision of website design and development services. By engaging Doredon and paying a deposit, you confirm that you have read, understood, and agree to these Terms.
1. Services
I provide website design, development, and related digital services as agreed in writing prior to the commencement of work ("the Project"). The specific deliverables, pricing tier, and turnaround time for each Project will be confirmed via email or written quote before work begins.
Turnaround times are as stated on the relevant pricing plan at the time of booking. These timelines assume prompt receipt of all required content and approvals from you.
2. Content
2.1 Client-Supplied Content
You may supply your own written copy, images, branding assets, and other content required to complete the Project. All client-supplied content must be provided within 5 working days of the deposit being received, unless otherwise agreed in writing.
Delays in supplying content will pause the project timeline. I am not liable for missed turnaround dates caused by late or incomplete content delivery.
2.2 AI-Generated Content
If you are unable to supply content, or choose not to, I will produce written copy and/or source appropriate imagery using AI-assisted tools on your behalf. AI-generated content is included in the agreed project price at no additional cost.
You acknowledge that AI-generated content is produced to a reasonable standard and may require your review and approval. You are responsible for ensuring that all published content, whether supplied by you or generated by me, is accurate, lawful, and suitable for your business.
3. Payment
3.1 Deposit
A non-refundable deposit of 10% of the total agreed project price is required before work begins. Work will not commence until the deposit has been received and cleared.
3.2 Final Payment
The remaining balance is due upon completion of the Project, prior to the live launch of your website or handover of project files, whichever comes first.
3.3 Late Payment
If the final payment is not received within 14 days of the completion notice, I reserve the right to suspend or withhold delivery of the completed website until payment is made in full.
4. Revisions
4.1 Free Revision Period
Following the initial delivery of your completed website, you are entitled to request revisions free of charge for a period of 30 days ("the Revision Period"). A revision is defined as a reasonable amendment to existing content, layout, or functionality within the original agreed scope.
Revisions that constitute a significant change to the original scope, including but not limited to adding new pages, restructuring the site, or introducing new features, fall outside the free revision period and will be quoted separately.
4.2 Revisions After the Free Period
Any revisions requested after the 30-day Revision Period has expired will be subject to a separate written agreement, including price and timeline, before work is carried out.
5. Intellectual Property
5.1 Ownership After Payment
Upon receipt of full and final payment, all intellectual property rights in the completed website, including design, code, and any AI-generated content produced by me, are transferred to you.
5.2 Rights Before Final Payment
Until final payment is received in full, all work produced remains the intellectual property of Jacek Winter trading as Doredon. You may not use, publish, or distribute the website or any part of it prior to full payment being made.
5.3 Portfolio Rights
I retain the right to display your completed website as part of my portfolio and in promotional materials, unless you request otherwise in writing prior to the Project commencing.
5.4 Client-Supplied Materials
You warrant that any content, images, or materials you supply to me are either owned by you or that you have the appropriate licences and permissions to use them. You indemnify me against any claims arising from the use of client-supplied materials.
6. Hosting and Handover
6.1 Build and Hand Over
Unless a separate ongoing maintenance agreement is in place, my obligation ends upon delivery of the completed website. Responsibility for hosting, domain renewal, and ongoing maintenance passes to you at the point of handover.
6.2 Third-Party Services
Websites are typically deployed via Netlify and require a domain name registered through a third-party provider. I am not responsible for the availability, performance, or costs of any third-party services including but not limited to Netlify, domain registrars, or email providers.
7. Limitation of Liability
My total liability to you in connection with any Project shall not exceed the total fees paid by you for that Project.
I am not liable for any indirect, consequential, or loss-of-business damages arising from the services provided, including but not limited to loss of revenue, loss of data, or reputational damage.
8. Cancellation
8.1 Cancellation by You
If you cancel the Project after the deposit has been paid but before completion, the deposit is non-refundable. If work has commenced beyond the deposit value, you will be invoiced for the proportion of work completed at the time of cancellation.
8.2 Cancellation by Me
I reserve the right to cancel a Project if you are in breach of these Terms, or if the project becomes unreasonably delayed due to inaction on your part for more than 30 days. In such cases, any work completed will be invoiced accordingly and the deposit will be retained.
9. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the Project and not to disclose it to any third party without prior written consent.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Amendments
I reserve the right to update these Terms from time to time. Any changes will be published on my website. Continued engagement with my services following any update constitutes acceptance of the revised Terms.
